How Partnership Dissolution Works In Uk?
Unlike a limited company, a partnership has no legal existence distinct from the partners themselves
. Partnership has a contractual basis and a partnership agreement may provide express circumstances under which the partnership will end. The Partnership Act also specifies five situations in which a
partnership dissolution will happen, which are subject to contrary agreement between the partners. These are:
where the partnership was entered into for a fixed term, by the expiry of that term;
if the partnership was formed to carry out a specific project, by the completion of the project
where the partnership was entered into for an undefined time, by notice given by one partner to the other(s)
where a partner allows his share of the partnership to be charged for his separate debt, at the option of the other partners, and;
the death or bankruptcy of any partner
A fixed term partnership, which is only entered into for an agreed length of time, can only be ended under the terms of the partnership agreement, by the death, bankruptcy or winding up of a partner, or by a court order. For example, a fixed term partnership may be entered into to carry out one single project, such as a large building contract
The effect of a full dissolution of partnership is to end it as a going concern. When a partnership is dissolved, its affairs must be wound up.
In case of partnership at will, a partner can dissolve it by giving written notice of
partnership dissolution to other partners duly signed by him. The notice will end the partnership from the date given in it or from the date of the communication of the notice if no date is specified.
A partnership can also be dissolved or ended because of the retirement, death, bankruptcy or winding up of one of the partners, or because of a disagreement between the partners.
Partnership dissolution may happened if a partnership agreement was induced by a misrepresentation by one partner to another, be it fraudulent, negligent or innocent, the partner so induced can rescind the contract, effectively dissolving the partnership.
The partnership may be dissolved by the court on the application by a partner if the following grounds are satisfied:
When a partner, other than the partner suing, becomes in any other way permanently incapable of performing his part of the partnership contract
When a partner, other than the partner suing, has been guilty of such conduct as, in the opinion of the Court, regard being had to the nature of the business, is calculated to prejudicially affect the carrying on of the business
When a partner, other than the partner suing, willfully or persistently commits a breach of the partnership agreement, or otherwise so conducts himself in matters relating to the partnership business that it is not reasonably practicable for the other partner or partners to carry on the business in partnership with him
When the business of the partnership can only be carried on at a loss
Whenever in any case circumstances have arisen which, in the opinion of the Court, render it just and equitable that the partnership be dissolved
