Understanding Documents Required For Singapore Company Incorporation
Foreign businesses interested in incorporating a company in Singapore can do so within
one or two working days and the procedure for company registration is quite minimal. There are only two steps involved and a few documents need to be submitted along with the registration application. Of course an application form is required to be submitted as well, but it is important the foreign entrepreneur or company registering a business in Singapore understand the other documents required so that there are no unnecessary delays in the company setup process.
1) Shareholder and Director Particulars: Singapore allows foreigners to own 100 per cent of companies incorporated in the country. They are also allowed to reside in another nation instead of relocate to Singapore for management. No matter from where the shareholders and directors are from or where they reside, they have to submit their entire particulars to the company registrar. They would need to provide copies of their passport with the address clearly visible. They would also need to submit some kind of an address proof such as a utility bill. This could be any bill that clearly states the address of the shareholder or director in their home country. These documents need to be submitted for each of the shareholders and directors of the company.
2) Corporate Ownership: If the shares of the Singapore Company are going to be owned by a corporate entity, then they would have to submit a number of documents that prove their existence and incorporation in their home countries. This includes submission of a copy of their certificate of incorporation, business address details and other details such as their business activities, brochures, website address etc.
3) Memorandum and Articles of Association (MAA): The Memorandum and Articles of Association are very important when it comes to company incorporation in Singapore. The MAA will clearly state the objectives of the company, description of their business activities, their corporate structure and other valuable details with respect to the newly formed company in Singapore. Incorporation service providers in Singapore often provide standard MMA documents to their clients which they can use for registering their business in Singapore. Note that in case the foreign company is registering a branch office in Singapore instead of a Subsidiary, then the Memorandum and Articles of Association of the parent company needs to be submitted as the Singapore branch office will be a legal extension of the parent company and not have separate legal status.
