NOLO books do a great job of providing legal information to everyone, and Mancuso authored "Form Your Own Limited Liability Company." That book focused on the documents needed to start an LLC, while this book focuses on the forms and documents needed to continue to operate your LLC.
The book begins with a short chapter on organizing you LLC documents, and then goes into chapters on using meetings, minutes and written consents; steps to take before holding a meeting; how to hold an LLC meeting; how to prepare written minutes of LLC meetings; how to hold a paper LLC meeting; how to take action by written consent without an LLC meeting; standard LLC business resolutions; LLC tax resolutions; resolutions to amend the LLC Articles and Operating Agreement; LLC membership resolutions; LLC hiring and compensation resolutions; loans to the LLC; loans by the LLC; self-interested business dealings between the LLC and its members or managers; and finally lawyers, tax specialists, and legal research.
Appendix A tells you how to use the CD-ROM, Appendix B has a little information regarding how to locate state LLC offices and laws online, and Appendix C contains Forms.
For the person who wants to keep accurate records and use the proper LLC forms, this book will make things much easier. Boilerplate forms for many situations are included, and it would be easy to tailor them to your LLC's specific needs. However, I would imagine many of the forms here will go unused by many small business LLCs. Additionally, I don't know if you need all the tear-out form pages when they are on the CD-ROM, but it does not hurt to have them. If you don't have the CD-ROM for some reason, you can use the samples in the book to draft your own.
Again, this book is not going to help you make the decisions to make your LLC a success, but it will certainly help you keep accurate records and prepare formal minutes and resolutions. This book provides forms for just about anything you will want to do with your LLC after it has been formed. (Mancuso's first book contains the forms and information regarding formation of LLCs) While this book is a bit pricy, it is not a bad investment if you need help with your LLC documents. It is a lot less expensive than hiring someone to draft them for you.
